Master Platform Terms and Conditions

These Master Terms and Conditions ("Agreement") govern access to and use of the ZingoDine restaurant management system, point-of-sale software, mobile applications, and associated services provided by Newotion IT Solutions LTD ("Company", "we", "us"), a company incorporated in England and Wales.
1. Acceptance of Terms
By registering for an account, deploying ZingoDine software, using our tabletop QR ordering, or accessing our partner portals, you agree to be legally bound by this Agreement. If entering into this Agreement on behalf of a company or commercial hospitality establishment, you warrant that you hold legal authority to bind said entity.
2. Subscription & Continuous Payment Authority (CPA)
Access to ZingoDine software is supplied on a recurring subscription basis (monthly or annual). Customers authorize Newotion IT Solutions LTD to establish a Continuous Payment Authority (CPA) through authorized PCI-DSS Level 1 payment processors (e.g. Stripe) to debit the designated payment method on each scheduled billing date for renewal fees, hardware installment dues, and monthly equipment rental charges.
3. Service Availability & Maintenance
We target a 99.9% service availability level for our cloud infrastructure. Periodic scheduled maintenance is conducted during low-traffic off-peak hours with prior electronic notice. Our modern offline-tolerant POS architecture ensures that local venues maintain order-taking and ticket-printing capabilities during temporary upstream network disruptions.
4. Data Ownership & Intellectual Property
The Customer retains full ownership of all restaurant customer records, menu data, sales receipts, and dining transactions uploaded to the platform. Newotion IT Solutions LTD retains all proprietary rights, copyright, and intellectual property in the ZingoDine software, design code, algorithms, and trademarks.
5. Governing Law & Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
